AI Builder Pass: Terms and Conditions

These Terms and Conditions govern the purchase and use of the AI Builder Pass (the "Pass") sold by LevelUp Labs, LLC ("LevelUp Labs"). By purchasing the Pass, you agree to these terms.
1. What the Pass is
The AI Builder Pass is a personal 12-month membership granting access to LevelUp Labs' cohort courses, community sessions, and partner benefits as set out below.
The Pass is granted to one individual and is non-transferable.
2. How you purchase
The Pass is available as an upgrade after you enroll in one of LevelUp Labs' Maven cohort courses. Your Maven welcome email contains the upgrade link. If you are an alum of any of our past courses and want to upgrade to the pass, please reach out to us at problemfirst.ai@gmail.com.

4. Upgrade price calculation
The amount you pay to upgrade is the difference between the current Pass price and the amount you have paid LevelUp Labs for Maven cohort courses. The exact amount is calculated and confirmed by LevelUp Labs at the time of upgrade. Email problemfirst.ai@gmail.com for your personalized upgrade price.
5. What the Pass includes
For the 12-month Pass term, you receive:
Unlimited access to every LevelUp Labs public cohort course offered during your Pass term.
Access to Chai and AI community sessions, including weekly champion sessions and bi-weekly open sessions.
Tool and Education Partner sessions delivered through the year.
Tool partner credits from LevelUp Labs' active credit partners.
New courses launched by LevelUp Labs during your Pass term are included at no additional cost.
6. Pass activation and term
Your Pass activates on the first day of the first Maven cohort you enroll in as a Pass holder. Community session access, partner credits, partner sessions, and all other Pass benefits become available on that activation date.
The 12-month Pass term runs from your activation date. The Pass expires 12 months after activation. LevelUp Labs may offer renewal at the prevailing price.
You must activate the Pass by enrolling in your first cohort within a reasonable time after purchase. LevelUp Labs reserves the right to discuss activation with any holder whose Pass remains inactive for an extended period.
7. Cohort enrollment
LevelUp Labs runs cohort courses on the Maven platform. To enroll in a specific cohort as a Pass holder, email problemfirst.ai@gmail.com.
a. One cohort per course at a time. You may be enrolled in one cohort of each different course at the same time. You may not be enrolled in two cohorts of the same course simultaneously.
b. Minimum 2-day advance notice. Enrollment requests must be received at least two days before the cohort start date. Late requests move to the next cohort.
c. No mid-cohort enrollment. Once a cohort has begun, it is closed to new Pass holder enrollments. Wait for the next cohort of that course.

Enrollment is subject to cohort availability and the published cohort calendar. LevelUp Labs aims to run each course multiple times per year but does not guarantee a specific number of cohorts or specific dates. LevelUp Labs reserves the right to modify the cohort calendar, rename a course, or restructure a course while continuing to provide equivalent or improved learning experiences to Pass holders.
8. Partner credits and partner sessions
a. Activation. Partner credits are issued on the first day of your first cohort as a Pass holder. Credits are not issued at the time of Pass purchase.
b. Bundle. You receive the set of partner credits LevelUp Labs has live with active credit partners on that day. Partners who join after your first cohort starts are not retroactively added to your credit bundle.
c. Redemption. Each partner credit is subject to that partner's own terms, redemption process, and validity period. LevelUp Labs is not responsible for partner-side issues, expirations, or product changes once credits are issued.
d. Sessions. Topics, dates, and partner participation are at LevelUp Labs' discretion.
e. No guarantee of specific partners. Partnerships are seasonal and may begin or end during your Pass term. LevelUp Labs does not guarantee the continued participation of any specific partner.
9. Refunds
a. Before activation. You may request a full refund at any time between Pass purchase and the start date of your first Maven cohort by emailing problemfirst.ai@gmail.com.
b. First 15 days after activation. You may request a refund up to 15 days after your Pass activation date (the first day of your first Maven cohort as a Pass holder). If partner credits have been issued to you and cannot be clawed back from the partner, LevelUp Labs will deduct the value of those issued credits from your refund.
c. No refunds after 15 days post-activation. Beyond 15 days after activation, the Pass is non-refundable.
10. Non-transferability
The Pass is for you personally. You may not transfer, sell, gift, lease, share your account credentials, or use the Pass on behalf of someone else. LevelUp Labs may terminate the Pass without refund if it determines that the Pass has been transferred or shared in violation of this section.
11. Course content and intellectual property
All course materials, recordings, frameworks, methodologies, and content remain the exclusive intellectual property of LevelUp Labs. Your Pass grants you a personal, non-exclusive, non-transferable license to access and use course materials for your own learning during the Pass term.
You may not record, screen-capture, redistribute, reproduce, publish, or commercialize any course material. You may not use course materials to develop or sell a competing course or training program.
When referencing LevelUp Labs frameworks externally, the required attribution is: "Created by LevelUp Labs."
12. Cohort conduct
LevelUp Labs expects Pass holders to engage with cohorts in good faith. Abusive behavior, disruption of sessions, harassment, or violations of community guidelines will result in removal from the cohort and may result in termination of the Pass without refund.
13. Privacy
LevelUp Labs collects and processes your personal data (name, email, payment information, cohort enrollment, session attendance) to administer your Pass and deliver the included benefits.
LevelUp Labs may share aggregate, anonymized data with partners for reporting purposes. LevelUp Labs will not share your personal identifying information with any partner without your explicit opt-in consent.
LevelUp Labs complies with applicable privacy laws, including GDPR and CCPA where applicable.
14. Modifications to these terms
LevelUp Labs may update these terms from time to time and will post the updated terms on the LevelUp Labs website. Material changes affecting your existing rights will be communicated by email. Continued use of your Pass after the effective date constitutes acceptance of the updated terms.
15. Disclaimer of warranties
The Pass and all included courses, sessions, and partner benefits are provided on an "as is" basis. LevelUp Labs makes no warranty that the Pass or any specific benefit will be uninterrupted, error-free, or meet your specific learning goals. LevelUp Labs is an educational provider and does not guarantee any specific career, financial, or professional outcome.
16. Limitation of liability
To the maximum extent permitted by law, LevelUp Labs' total aggregate liability arising out of or in connection with the Pass is limited to the amount you paid for the Pass. LevelUp Labs is not liable for indirect, incidental, consequential, special, or punitive damages.
17. Governing law and disputes
These terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or in connection with the Pass will be resolved in the state and federal courts located in California.
